Terms of Service

These Terms of Service ("Terms") govern your access to and use of Ivora's website and platform located at ivora.ca (the "Service"), operated by Ivora ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 18 years of age to use Ivora. By using the Service, you represent that you are 18 or older and have the legal capacity to enter into a binding agreement.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@ivora.ca if you become aware of any unauthorized use of your account.

You may not create an account using a false identity or on behalf of someone other than yourself without authorization. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Couples (Hosts)

As a couple or host using Ivora to plan your event, you agree to:

• Provide accurate information about yourself and your event
• Use the platform for genuine wedding and event planning purposes
• Communicate respectfully with vendors
• Not submit false or misleading reviews
• Not use Ivora's planning tools for commercial or business purposes

4. Vendors

As a vendor listed on Ivora, you agree to:

• Provide accurate information about your business, services, pricing, and availability
• Only list services you are legally licensed and qualified to provide
• Respond to couple inquiries in a timely and professional manner
• Honour the pricing and packages shown on your profile
• Not solicit couples to move communications off-platform to avoid our services
• Comply with all applicable laws and regulations governing your business
• Maintain appropriate business insurance as required by law

We reserve the right to remove vendor listings that contain false information, receive consistent negative reviews, or violate these Terms.

5. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Post content that is false, misleading, defamatory, or fraudulent
• Harass, threaten, or abuse other users
• Scrape, crawl, or extract data from the platform without permission
• Attempt to gain unauthorized access to any part of the Service
• Use the Service to send spam or unsolicited communications
• Interfere with or disrupt the integrity or performance of the Service

6. Content

You retain ownership of content you submit to Ivora (photos, descriptions, reviews, etc.). By submitting content, you grant us a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content in connection with operating and promoting the Service.

We reserve the right to remove any content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or inappropriate.

7. Reviews

Reviews must reflect genuine first-hand experiences. You may not submit reviews for vendors you have not actually hired, post reviews on behalf of others, or submit multiple reviews for the same vendor. We moderate all reviews before publication and reserve the right to remove reviews that violate our guidelines.

8. Payments and Subscriptions

Certain features of Ivora, including vendor subscription plans, require payment. All payments are processed securely by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis according to your chosen plan.

Subscription fees are non-refundable except where required by applicable law. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of your current billing period.

9. Ivora's Role

Ivora is a marketplace platform that connects couples with vendors. We do not participate in or guarantee the services provided by vendors, and we are not a party to any agreement between a couple and a vendor. Any disputes arising from vendor services must be resolved directly between the couple and the vendor.

We do not verify the quality, safety, legality, or accuracy of vendor services. We encourage couples to do their own due diligence before hiring any vendor.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IVORA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE OR FROM ANY VENDOR SERVICES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Ivora and its team members from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the platform. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
